These terms apply to business customers. Each quotation or service schedule sets out the agreed scope, price, payment arrangements and duration. Private consumers should contact us for the terms and information that apply to their booking.

Parties and agreement

The supplier is FitzPro Cleaning Limited, company number 17531274, registered in England and Wales. Contact: office@fitzprocleaning.co.uk. Registered office: 37 Cyprus Road, Portsmouth, England, PO2 7QA.

The agreement consists of the accepted quotation or service schedule, any expressly agreed written variations and these terms. The quotation will identify the customer, premises, scope, start date, frequency or completion date, price, VAT treatment, billing arrangements, payment due date, duration and termination notice. No work should begin with material commercial fields unresolved.

The parties will confirm acceptance and the start arrangements in writing. A website enquiry alone is not acceptance. Where a customer proposes its own terms, the parties must resolve which terms govern before starting, rather than assuming these terms override them.

Scope and standard of work

We will carry out the agreed cleaning with reasonable care and skill using methods appropriate to the premises. Only the areas and tasks set out in the quotation are included. Periodic work, consumables, specialist access, carpet extraction, appliances or unusual contamination are included only where expressly agreed.

Cleaning does not repair damage or guarantee the removal of permanent staining, wear or pre-existing defects. End of tenancy cleaning is not a guarantee of a deposit return or a decision by a landlord, agent or adjudicator.

If the actual condition, access or risks materially differ from the information supplied, we will discuss the effect before proceeding with affected work. Additional work and changes to price or timing require agreement. We will not silently substitute an unsafe method to complete the original scope.

Access and customer cooperation

The customer will provide agreed access, necessary permissions, relevant site information and suitable utilities or facilities identified in the quotation. The customer will identify fragile or sensitive items, known hazards, restricted areas, security arrangements and relevant emergency procedures.

The parties will agree how keys and codes are issued, used and returned. Please secure confidential documents, money and valuables and make agreed surfaces accessible. These responsibilities do not excuse loss or damage caused by our failure to exercise reasonable care.

If access is unavailable or work is prevented, we will contact the customer and seek a practical arrangement. Any charge for lost attendance or cancellation must be set out and agreed in advance, reflect the circumstances and take account of costs saved or work that can be redeployed.

Health and safety

Each party retains its own legal responsibilities. We will assess our activities, provide appropriate instruction and controls, and cooperate with the customer's site arrangements. The customer will provide information about hazards under its control and cooperate in maintaining safe access.

We may pause affected work where there is an uncontrolled risk, threatening behaviour, unknown contamination or missing essential information. We will notify the customer and agree how the issue can be resolved. Specialist hazardous tasks require separate assessment and written agreement.

Scheduling and personnel

The service schedule will state the agreed visit times or time windows. We will notify the customer of a material disruption and discuss reasonable alternatives. Any substitute worker or approved subcontractor must be suitable for the task and receive the relevant site information. We remain responsible for the work we contract to provide.

Taking over a contract where cleaners already work at the site may require a separate review of employment-transfer obligations and costs before acceptance. These terms do not allocate such obligations without that review.

Prices and payment

The quotation will state the price, what it includes and whether VAT is chargeable. We will not charge VAT unless entitled and required to do so. The quotation will also identify any agreed deposit, billing frequency and payment due date. Payment terms are agreed in the quotation or service schedule.

The customer should raise a billing query promptly with enough detail for us to investigate and pay undisputed amounts by the agreed due date. Before suspending service for non-payment, we will provide written notice and a reasonable opportunity to resolve the issue, taking account of any genuine dispute and the agreed contract.

Where the customer uses self-billing or a payment-management company, the parties must agree that arrangement separately in writing, including the identity of the payer, approved hours, rates, VAT treatment, correction process and payment dates. We will reconcile the self-billed records and avoid issuing duplicate invoices for the same supply.

Problems and remedies

Please report a service concern promptly to office@fitzprocleaning.co.uk and give us a reasonable opportunity to inspect and address it. We will consider the agreed scope, the evidence and a suitable remedy. The Complaints Policy explains our handling process. No short automatic claim-expiry clause is imposed here.

If damage is discovered, both parties should preserve relevant evidence and cooperate with a reasonable investigation. We are responsible for loss for which we are legally liable. Nothing excludes or restricts liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or anything the law does not allow to be excluded or restricted.

Any additional liability provision must be expressly agreed in writing, appropriate to the contract and consistent with applicable law.

Cancellation and ending the service

For recurring work, the quotation must state the duration and termination notice. For one-off work, it must state the agreed cancellation or rescheduling arrangement. Any cancellation charge must be transparent and agreed before booking, with no unsupported claim that all payments are automatically non-refundable.

Either party may raise a material breach in writing and allow a reasonable period to remedy it where remedy is possible. If it is not resolved, the parties may exercise the termination rights agreed in the contract or available under law. Serious immediate safety risks may require work to stop sooner.

On termination, the parties will settle sums properly due for work and agreed charges, arrange return of keys and property, and remove unnecessary access information. Confidentiality and any terms intended to survive will continue where applicable.

Confidentiality and information

Both parties will protect confidential information obtained through the service and use it only for legitimate contract purposes, except where disclosure is legally required. Personal information will be handled in line with our Privacy Policy and applicable law. Where one party processes personal information solely for the other, any required data-processing terms must be agreed separately.

We will not use a customer's name, logo, premises photographs or testimonial in marketing without appropriate permission.

Events outside reasonable control and disputes

If an event outside a party's reasonable control prevents performance, that party will notify the other promptly, take reasonable steps to reduce the effect and discuss a revised arrangement. Charges and any right to end prolonged disruption should be addressed fairly in the agreed service schedule; this clause does not create an automatic right to charge for work never provided.

The parties will first try to resolve disputes through their nominated contacts and, where helpful, an agreed independent process. For business contracts, English law applies and the courts of England and Wales have jurisdiction unless a signed agreement states otherwise. Nothing removes mandatory legal rights.
